Dhoot Transmission bets on innovation, global expansion with ₹1,400-crore IPO

Auto components manufacturer Dhoot Transmission Limited on Wednesday announced the launch of its Initial Public Offering (IPO), with the public issue set to open on August 10. The company has fixed the price band at ₹829-₹871 per equity share, while the anchor investor portion will open on August 7 and the issue will close on August 12.

The announcement was made during a media interaction in Ahmedabad attended by Rahul Dhoot, Managing Director, Naveen Kumar, Chief Executive Officer, and Nitin Kalani, Group Chief Financial Officer, who outlined the company’s growth roadmap, innovation-led strategy and details of the public issue.

Speaking on the occasion, Rahul Dhoot, Managing Director, said the company has always believed that sustainable growth is built on trust rather than numbers alone.

Highlighting the company’s technology-driven approach, Naveen Kumar, CEO, said innovation has been central to Dhoot Transmission’s growth story.

“The automotive industry is evolving rapidly with the transition towards advanced mobility and intelligent vehicle technologies. At Dhoot Transmission, innovation is at the heart of everything we do. We already have seven registered patents, while several more patent applications are currently under process. These innovations, coupled with our strong relationships with leading OEMs and our unwavering focus on quality and engineering excellence, position us well to capture emerging opportunities in both Indian and global markets,” he said.

Nitin Kalani, Group CFO, said the company has maintained financial discipline while pursuing growth.

“We have built a financially resilient organisation through operational efficiency and prudent capital allocation. The proceeds from the fresh issue will further strengthen our balance sheet and provide the flexibility to invest in future growth opportunities while continuing to create long-term value for all our stakeholders,” he said.

The IPO comprises a fresh issue of equity shares aggregating up to ₹1,400 crore and an Offer for Sale (OFS) of up to 1,91,37,602 equity shares by existing shareholders, including promoter entities. Eligible employees bidding under the employee reservation category will receive a discount of ₹80 per equity share.

The company has fixed the price band at ₹829-₹871 per share, and investors can bid for a minimum of 17 equity shares and in multiples thereafter. Based on FY26 diluted earnings, the IPO is priced at a P/E of 33.98 times at the lower end and 35.70 times at the upper end, compared with the average industry peer P/E of 55.31 times. The company has also reported a weighted average Return on Net Worth (RoNW) of 27.06% over the last three financial years.

The equity shares are proposed to be listed on both the BSE and the National Stock Exchange (NSE), with NSE acting as the designated stock exchange. The book running lead managers to the issue are Axis Capital Limited, Jefferies India Private Limited, Kotak Mahindra Capital Company Limited, Nomura Financial Advisory and Securities (India) Private Limited, SBI Capital Markets Limited and 360 ONE WAM Limited.
